NOTICE OF PUBLIC HEARING

The New Jersey Economic Development Authority (the “Authority”) will hold a public hearing at its regular monthly meeting on November 16, 2026 at 10:00 a.m. at the Authority’s Board Room located at 36 West State Street, 1st Floor, Trenton, New Jersey 08625, or at 1-888-790-3708 (Conference ID: 7825427).  The public hearing will be held for the purpose of providing a reasonable opportunity for interested persons to express their views, both orally and in writing, with respect to the proposed issuance by the Authority of its Qualified 501(c)(3) Bonds, as defined in section 145 of the Internal Revenue Code of 1986, as amended (the “Code”) in one or more series of tax-exempt and/or taxable, senior and/or subordinate, fixed and/or variable interest  rates and current interest and/or capital appreciation revenue bonds (the “Bonds”) in an aggregate principal amount not to exceed $720,000,000 pursuant to a plan of financing in connection with the following matters:

CVH-Redefine, LLC, a limited liability company organized under the laws of the State of Delaware (the “Purchaser”), being a single member limited liability company that is disregarded as an entity separate from its sole member for federal income tax purposes, and the sole direct or indirect member of the Purchaser being CuraVerus Integrated Health Corporation, a Delaware nonstock corporation and an organization exempt from federal income taxes pursuant to Section 501(c)(3) of the Internal Revenue Code of 1986, as amended, has requested that the Authority issue the Bonds and lend the proceeds thereof to the Purchaser and Redefine Management LLC, a limited liability company organized under the laws of the State of New Jersey (“Redefine” and together with the Purchaser, the “Borrower”), to the Borrower to be used by the Purchaser to (a) finance and/or reimburse the costs of (1) the acquisition of a diversified, integrated network of physician practices, ambulatory surgery centers, medical office buildings, management and billing services, ancillary service lines and value-based care initiatives (either via the acquisition, directly or indirectly in a manner consistent with the restrictions on the corporate practice of medicine, of the membership interests in the entities that own such assets or through the acquisition of such assets directly), including the acquisition of all of the membership interests in Redefine Management LLC, a New Jersey limited liability company, and making funds available to CuraVerus Medical Group, P.C., a New Jersey professional corporation, for the acquisition of all of the membership interests in Premier Brain and Spine LLC, a New Jersey limited liability company, and (2) expand, renovate and/or equip certain facilities owned and operated by such entities and located in the State (collectively referred to herein as the “Project” and the boroughs, townships and communities and the Counties in which the Project are situated (as set forth in Exhibit A hereto are the “Project Municipalities”), and (b) establish a debt service reserve fund for the benefit of all or a portion of the Bonds, (c) fund certain liquidity and other reserves, (d) fund a portion of interest due on the Bonds during the transition period for the Project, (e) finance working capital, and (f) pay certain expenses incurred in connection with the issuance of the Bonds ((a) – (f), collectively, the “Financing Purposes”);

The reasonably expected $720,000,000 maximum principal amount of Bonds may be allocable to any one of the addresses listed in Exhibit A and/or any particular component of the Project, but the aggregate principal amount of Bonds allocable to all components of the Project will not exceed $720,000,000.  The Project will be owned and operated by the Borrower.

Description of Project:               (a) the Purchaser’s purchase all of the membership interests in ABHW Operating Company and ABHS Operating Company; (b) the Purchaser’s purchase of all of the membership interests in VBR Holdings; (c) the Purchaser’s purchase of all of the membership interests in ABC Holdings; (d) the Borrower’s financing of the acquisition, construction, expansion, renovation and equipping of Victory Bay, a provider specializing in higher acuity outpatient treatment for mental health, eating, gambling, and substance use disorder treatments, with locations throughout the State, including as set forth above; (e) the Borrower’s financing of the acquisition, construction, expansion, rehabilitation, renovation and equipping of Harmony Bay, a provider of primarily outpatient telehealth behavioral treatment programs including individual and family therapy, psychiatric evaluations, and medication management, with locations throughout the State, including as set forth above; (f) the Borrower’s financing of the acquisition, construction, expansion, rehabilitation, renovation and equipping of Dignity Hall, providing Cooperative Sober  Living Residences, with locations throughout the State, including as set forth above, (clauses (a) through (f) collectively referred to herein as the “Facilities”); and (g) the Borrower (i) establishing a debt service reserve fund for the benefit of the Bonds, (ii) establishing a transition holdback fund to hold a portion of the purchase price subject to release in accordance with certain requirements, (iii) funding certain reserves, (iv) funding a portion of interest due on the Bonds during the transition period for the Facilities, (v) financing working capital, and (vi) paying certain expenses incurred in connection with the issuance of the Bonds.

WITH RESPECT TO THE ISSUANCE BY THE
New Jersey Economic Development Authority
OF REVENUE BONDS IN AN AMOUNT NOT TO EXCEED $6,000,000

NOTICE IS HEREBY GIVEN to all interested persons that a public hearing, as required by Section 147(f) of the Internal Revenue Code of 1986, as amended (the “Code”), will be held by the New Jersey Economic Development Authority (“Authority”) at its regular monthly meeting on Thursday, October 9, 2025, which commences at 10:00 a.m., at the offices of the Authority in the main boardroom on the First Floor at 36 W. State Street, Trenton, New Jersey 08608, with respect to the proposed issuance by the Authority of revenue bonds, in one or more series, in an aggregate principal amount not to exceed $6,000,000 (the “Bonds”).  The Bonds will constitute “qualified 501(c)(3) bonds” within the meaning of Section 145(a) of the Code and will be issued pursuant to a plan of finance as described below.

The proceeds from the sale of the Bonds will be loaned to Second Street Youth Center, Inc., a New Jersey nonprofit corporation and organization described in 501(c)(3) of the Code (the “Borrower”).  Proceeds of the Bonds will be used to (1) finance and refinance the acquisition by the Borrower of (a) approximately 25,000 square feet of land, (b) an existing building facility for continued use as an early childhood education center, and (c) other associated property and equipment, all located at 200 Plainfield Avenue, Plainfield, New Jersey 07060; (2) fund a debt service reserve fund, if any, with respect to the Bonds; and (3) fund certain costs of issuance with respect to the Bonds (collectively, the “Project”).  All of the land, facilities, property and/or equipment to be financed or refinanced with the proceeds of the Bonds are or will be owned and/or operated by the Borrower.

The Bonds will be special limited obligations of the Authority payable solely from the loan repayments to be made by the Borrower to the Authority and certain funds and accounts established by bond documents relating to the Bonds. The Bonds will not be a debt or other obligation of the Authority or of any other governmental entity in the State of New Jersey.

The New Jersey Economic Development Authority (the “Authority”) has rescheduled its February 12, 2025 public hearing due to inclement weather.  The rescheduled public hearing will be held on February 24, 2025 at 10:00 a.m. via teleconference at 1-888-790-3708 (Conference ID: 7825427).  The public hearing will be held for the purpose of providing a reasonable opportunity for interested persons to express their views with respect to a proposed issuance by the Authority of one or more series of its bonds, from time to time, as part of a plan of financing with respect to the following application for economic development bond financing for the facilities described below: 

Owner, Operator or Manager of Project: 

The Authority will be the leaseholder of the Series 2025 Facilities (hereinafter defined) under a long-term lease from DRP Urban Renewal 4, LLC (the “Borrower”).  The Authority will sublease the Series 2025 Facilities back to the Borrower, which will place responsibility on the Borrower, to be delegated to Delaware River Partners LLC (“DRP”), to construct, operate, maintain and manage the Series 2025 Facilities.  The Borrower is a wholly-owned subsidiary of DRP.

Description of Project: 

The bonds will be issued to: (i) finance the costs of a project consisting of the expansion, renovation, construction and/or equipping of certain dock and dock-related facilities at the Repauno Port & Rail Terminal (the “Repauno Terminal”), including (a) two new loading arms and related facilities at the existing Terminal dock; (b) a functionally related new above-ground cryogenic tank for storing bulk liquid products at very low temperatures, together with associated product chilling facilities; (c) new piping and related facilities connecting the cryogenic tank facilities to the new liquids dock facilities, and connecting the new system with the existing terminal facilities; and (d) facilities ancillary to the foregoing (collectively, the “Series 2025 Facilities”); (ii) pay certain costs incurred in connection with the issuance of the bonds; (iii) fund a deposit to a debt service reserve fund securing the payment of principal and interest on the bonds; (iv) fund a deposit into an interest reserve fund to pay interest during the construction of the Series 2025 Facilities; and (v) fund one or more deposits to other required reserve funds, if necessary (collectively, the “Project”).

Location of Series 2025 Facilities: 

All of the equipment, machinery and other structures that are part of the Series 2025 Facilities will be located at the Repauno Terminal.  The Repauno Terminal is a port and rail storage and transloading terminal operated by DRP.  The Repauno Terminal has been developed by DRP and its affiliates on a disused brownfield site within an approximately 1,630-acre property in Gibbstown, New Jersey, the former location of DuPont’s chemical manufacturing facility.  The Repauno Terminal is in the Township of Greenwich, County of Gloucester, New Jersey.  The mailing address for the Repauno Terminal is 200 N. Repauno Avenue, Gibbstown, New Jersey 08027.  The Gloucester County block/lots within which the Project will be located are as follows: Block 8, Lot 2, Lot 3, Lot 4 and/or 4.02.  Within Lots 2, 3, 4 and/or 4.02, the Series 2025 Facilities will be located in an approximately 18.7-acre area adjacent to the Delaware River, about a mile from the nearest Gibbstown residences. This brownfield waterfront area is also the location of the existing Repauno Terminal dock and other existing Repauno Terminal facilities.
